Any legal action concerning these Terms of Use or the use of the EOL Services must be brought within one (1) year after the claim or cause of action arises and must be brought only in either the state or federal courts located in New York County, New York, and you expressly consent to the jurisdiction of said courts.

10. NO THIRD-PARTY BENEFICIARIES

You agree that, except as otherwise expressly provided in These Terms of Use, there shall be no third-party beneficiaries to this agreement.

11. ENTIRE AGREEMENT, SEVERABILITY AND INTEGRATION.

EOL provides its EOL services to you subject to the following Terms of Use and they constitute the entire agreement between you and EOL, superseding any prior agreements between you and EOL regarding the EOL Services. If any provision of these Terms of Use shall be determined to be unlawful, void, or for any reason unenforceable by a court of competent jurisdiction, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.

12. NON-DISPARAGEMENT.

You agree that during and after the term of your agreement, you shall not disparage, slander or make disparaging or derogatory remarks, whether oral or written, about EOL, its business or business practices, or any of its past, present, or future officers, directors, employees, agents, customers or suppliers.

13. MODIFICATION OF TERMS OF USE.
